Who the parties are双方是谁

The seller is Osman Group Limited (Hong Kong), referred to below as “we”. The buyer is the entity that submitted the enquiry and pressed confirm on an order confirmation, referred to as “you”. The person who presses the button warrants that they are authorised to bind that entity — if you are confirming on a colleague's behalf, say so in the note field and we will record both names.卖方是 Osman Group Limited (Hong Kong)，以下简称「我们」。买方是提交询价并在订单确认书上按下确认的一方，以下简称「你」。按下按钮的人声明自己有权代表该主体作出承诺——如果你是替同事确认，请在备注里写明，我们会把两个名字都记下来。

What we do我们做什么

We gather evidence about a factory and write it down: registries, litigation and tax records, on-site visits, interviews, photographs, ledgers, capacity calculations. What is included in a given order is listed, item by item, on that order's confirmation page — that list, not this page, defines the work.我们收集关于一家工厂的证据并写成文件：工商登记、涉诉与税务记录、现场走访、访谈、照片、台账、产能测算。某一单具体包含什么，逐条列在该单的确认书上——界定工作范围的是那张清单，不是这一页。

Every finding in a delivered report is traceable to something we saw, photographed, read or were told, and the report says which. An opinion we cannot support with evidence is labelled as an opinion.交付报告里的每一条结论都能追到我们看到的、拍到的、读到的或听到的东西，报告会注明是哪一种。没有证据支撑的判断，会标明是判断。

What we do not do我们不做什么

These four limits apply to every order, whatever the tier. They are repeated on each confirmation page so that nobody discovers them after paying.下面四条对每一单都适用，不论哪个档位。每份确认书上都会重述一遍，免得有人付完钱才发现。

• We do not contact, warn or negotiate with the factory, and we do not pass messages between you and it. It never learns who ordered the check.我们不联系、不通知、不谈判工厂，也不在你们之间传话。工厂不会知道这次核验是谁委托的。
• No laboratory testing, material analysis, certification, or inspection of goods. We look at a factory, not at a shipment.不做实验室检测、材料分析、认证，也不验货。我们看的是工厂，不是某一批货。
• No continuous monitoring, no repeat visits, no follow-up phone calls after delivery. This is one engagement with one delivery date.不做持续监控、不做重复到访、交付之后不做跟进电话。这是一次性委托，一个交付日期。
• We do not place orders, sign contracts, hold deposits or act as your representative in any dealing with the factory.我们不代下单、不代签合同、不代收定金，也不在与工厂的任何往来中充当你的代表。

You are buying as a business你是以企业身份采购

This is a business-to-business service used for commercial judgement. You confirm that you are not acting as a consumer, and that the protections reserved for consumers — statutory cancellation and withdrawal rights in particular — do not apply to this order. Our refund rules are in /refund and they are contractual, not statutory.这是一项用于商业判断的企业对企业服务。你确认自己并非以消费者身份购买，法律为消费者保留的保护——尤其是法定撤销与撤回权——不适用于本订单。我们的退款规则写在 /refund，属于合同约定，不是法定权利。

Price, validity, and why the number stops moving价格、有效期，以及为什么金额不再变动

A quote is valid for fourteen days from the date it is issued. The amount on the confirmation page is the amount you pay; it includes travel, the auditor's days and the report, and there is no separate expense invoice afterwards.报价自出具之日起十四天内有效。确认书上的金额就是你付的金额，包含差旅、人天和报告，事后不会再单独开一张费用账单。

Work that is added after confirmation is quoted as its own order. We do not revise a confirmed order upwards, and we do not silently absorb additions either — either would make the list you read meaningless.确认之后新增的工作，单独作为一单报价。我们不会把已确认的订单往上改，也不会默默把新增内容塞进去——两种做法都会让你读过的那张清单失去意义。

If you believe a quoted amount is wrong, say so before confirming. After confirmation the price is fixed for that scope.如果你认为报价有误，请在确认之前提出。确认之后，该范围内的价格即固定。

Payment and scheduling付款与排期

The visit is scheduled after the payment clears, not before. Where a card channel is open, the order is confirmed when the payment provider notifies us that the money has arrived — a payment page that was opened but abandoned confirms nothing.到厂安排在款项到账之后，而不是之前。开通卡支付时，订单在支付服务商通知我们款项到账时才算确认——打开过但没付完的付款页不构成确认。

Where no card channel is available, we issue an invoice and schedule on receipt. Bank charges at your end are yours; charges at ours are ours.没有可用卡通道时，我们开账单，收到款后排期。你那一端的银行手续费由你承担，我们这一端的由我们承担。

Delivery, and what happens when the factory says no交付，以及工厂不让进的时候

The delivery date on your confirmation page is a date, not a lead time. It assumes the factory lets us in. If access is refused, the site is closed, or the address turns out to be wrong, we tell you the same working day and give you a new date.确认书上的交付日期是一个日期，不是「大概几天」。它以工厂准我们进厂为前提。如果被拒、厂区停产、或地址不对，我们在同一个工作日内通知你并给出新日期。

If we cannot complete the visit at all, the order is refunded in full under /refund — including the travel we have already paid for. We do not deliver a report written from a phone call and call it a visit.如果这次到厂根本无法完成，按 /refund 全额退款，连我们已经付掉的差旅也算我们的。我们不会拿一份打电话问出来的东西当到厂报告交付。

The report is delivered as a sealed PDF. The seal is an HMAC over the document; if the file is altered after delivery the seal no longer verifies, and anyone holding it can check.报告以带封印的 PDF 交付。封印是对文件内容计算的 HMAC；文件在交付后被改动，封印即无法通过校验，任何持有文件的人都能自行核对。

Confidentiality保密

We keep your identity, your order and the report confidential. The factory is not told who commissioned the check, and we ask our auditors not to disclose it either.我们对你的身份、订单和报告保密。工厂不会被告知委托方是谁，我们也要求审核员不得透露。

The report goes to the address the order was placed from, and to any address you name in writing. If you forward it onwards, that is your decision and your responsibility.报告发到下单所用的邮箱，以及你书面指定的其他地址。你把它转发给谁，是你的决定，也由你负责。

We may describe an engagement in aggregate — “we visited 41 metalworking factories in Chongqing this year” — but never in a way that identifies you or the factory together.我们可能以汇总口径描述业务——「今年在重庆走访了 41 家金属加工厂」——但绝不会以能同时指向你和这家工厂的方式描述。

Using the report报告的使用

You may use the report inside your organisation, share it with your own advisers, lenders and investors under confidentiality, and rely on it for your own decision. You may not publish it, sell it, or quote it selectively in a way that misrepresents the finding — if you quote it, quote the verdict with its conditions.你可以在自己组织内部使用报告，在保密前提下提供给你的顾问、贷款方和投资人，并据以作出自己的判断。你不得公开发表、转售，或断章取义地引用以致曲解结论——要引用，就连同前提条件一起引用。

The report is written for the concern you stated in the enquiry. A different question needs a different visit; a report that answers the wrong question is not made right by reading it harder.报告是针对你在询价时写下的那个顾虑写的。换一个问题就需要再走一次；一份答错了问题的报告，再怎么读也不会变对。

We keep the underlying evidence — photographs, notes, documents — for three years, which is what lets us correct a factual error rather than argue about it.原始证据——照片、记录、文件——我们保存三年，这也是我们能够更正事实错误、而不是为此争论的原因。

Liability责任范围

Our liability under an order is limited to the amount you paid for that order. We are not liable for lost profit, lost orders, delay to your production, or any indirect or consequential loss.我们对某一订单的责任，以你为该订单实付的金额为上限。我们不对利润损失、订单损失、你的生产延误，或任何间接损失承担责任。

That cap does not apply where it cannot lawfully apply — fraud, wilful misconduct, death or personal injury — and nothing in these terms excludes liability that the law does not allow us to exclude.在法律不允许限制的范围内，上述上限不适用——欺诈、故意不当行为、人身伤亡——本条款也不排除法律不允许排除的责任。

A factual error in a report is corrected and reissued under a new seal at our cost, and refunded in full if it was material to your decision. That is a stronger remedy than the cap, and it is the one we would want if we were the buyer.报告中的事实错误，由我们承担费用更正并按新封印重发；如果该错误足以影响你的判断，全额退款。这比责任上限更有用，如果我们是买方，也会想要这一条。

Electronic signature and the record电子签署与记录

Pressing confirm on an order confirmation is an electronic signature. It is intended to have the same effect as a wet signature, and under Hong Kong's Electronic Transactions Ordinance (Cap. 553, s.6) and the EU's eIDAS Regulation (Art. 25(1)) it is not denied legal effect merely for being electronic.在订单确认书上按下确认，即为电子签署。它被赋予与手写签名相同的效力：依香港《电子交易条例》（第 553 章第 6 条）与欧盟 eIDAS 条例（第 25 条第 1 款），电子形式本身不构成否定其法律效力的理由。

For every acceptance we record: the terms edition, the exact scope list shown to you, the amount, the moment of acceptance, and the enquiry the order came from. That record, not this page, is what a dispute is settled on.每次确认我们都会记录：条款版本、当时展示给你的完整清单、金额、确认时刻，以及这一单来自哪次询价。有争议时以这份记录为准，而不是这一页。

Governing law and disputes适用法律与争议

These terms and every order are governed by the laws of the Hong Kong Special Administrative Region. The courts of Hong Kong have exclusive jurisdiction, and the parties submit to it.本条款及每一份订单适用中华人民共和国香港特别行政区法律。香港法院具有专属管辖权，双方接受该管辖。

Before any of that: write to us. Almost every disagreement in this business has been a scope line that was read differently, and a scope line can be re-read in a single email.在那之前：先写信给我们。这门生意里几乎每一次分歧，都是某一条清单被读成了两种意思，而一条清单在一封邮件里就能重新对齐。

Language and changes语言与变更

These terms are published in English and Chinese. If the two versions ever disagree, the English text governs.本条款以中英双语发布。两个版本如有出入，以英文文本为准。

We may issue a new edition at any time, and it gets a new version number. A new edition applies to orders confirmed after it is published — never retroactively to an order you have already confirmed against an earlier one.我们可以随时发布新版本，并赋予新的版本号。新版本适用于其发布之后确认的订单——绝不追溯适用于你已经按旧版确认过的订单。
